1. Nature of the service
Coral Soft Bake ("we", "us", "our") is a software-as-a-service (SaaS) provider. We operate an ordering, inventory, and production management platform hosted at coralsoftbake.com ("Platform").
Our Clients are bakery businesses who subscribe to the Platform to manage their own operations, including their own products, pricing, customers, deliveries, and customer service.
- Produce, store, package, or sell any bakery or food products.
- Establish the commercial relationship between a bakery and its end customers.
- Process refunds, replacements, or complaints related to bakery products.
- Control which products a bakery lists, how they are priced, or who may purchase them.
- Promote or require any specific payment processor.
2. Parties to this agreement
These Terms constitute a binding contract between:
- Coral Soft Bake — Company ID 15236473, 3-775 Lampson St, Victoria, BC V9A 6A9, Canada ("Provider").
- The subscribing bakery business that has accepted these Terms during account activation ("Client").
End customers (the bakery's own clients who place orders through the Platform) are not parties to this agreement. The commercial relationship between the bakery and its end customers is governed exclusively by the bakery's own terms, refund policy, and applicable food-safety regulations.
3. Provider responsibilities
Coral Soft Bake commits to:
- Host the Platform on secure infrastructure with reasonable uptime (target 99.5% monthly).
- Maintain backups of Client data with daily retention.
- Provide technical support for Platform functionality (see response times).
- Apply security patches and software updates.
- Process Client data in accordance with our Privacy Policy.
- Provide account administration tools for Client-authorized users.
4. Client responsibilities
Each Client is solely responsible for:
- Products: formulation, ingredients, allergen disclosure, shelf life, storage, and sanitary compliance.
- Pricing: all prices, taxes (GST/PST), and commercial offers listed on the Platform.
- End customers: account approval, credit terms, deliveries, refunds, complaints, and dispute resolution.
- User access: granting and revoking access to the Platform for their own employees and customers.
- Regulatory compliance: all food-safety, labeling, employment, tax, and consumer-protection obligations.
- Data accuracy: product information, inventory levels, recipes, and customer data entered into the Platform.
- Payment processor selection: choosing and contracting any payment processor they wish to integrate.
5. Account administration
5.1 Account control
The Client designates one or more administrator users who control:
- Which end customers may access the Client's ordering portal.
- Which products are visible and at what prices.
- Employee roles and permissions within the Platform.
Coral Soft Bake does not intervene in these decisions. Access requests from end customers are handled exclusively by the Client's administrators.
5.2 Credentials
The Client is responsible for maintaining the confidentiality of all login credentials. Coral Soft Bake will not disclose passwords or bypass authentication except with written authorization from a Client administrator.
6. Data ownership and role
For the purposes of Canadian privacy law (PIPEDA, BC PIPA):
- The Client is the data controller of its end customers' personal information.
- Coral Soft Bake is the data processor — we process end-customer data only on the Client's instructions and for the purpose of delivering the Platform service.
The Client warrants that it has obtained all necessary consents from its end customers to process their data through the Platform. See our Privacy Policy for full details.
7. Fees and payment
Subscription fees are invoiced according to the Client's service plan. Fees are:
- Payable within 30 days of invoice date.
- Subject to applicable taxes (GST/PST).
- Non-refundable except as expressly stated in our Refund Policy.
Late payments accrue interest at 1.5% per month. We reserve the right to suspend Platform access after 30 days of non-payment, with 7 days' written notice.
8. Service-level commitments
We target 99.5% monthly uptime for the Platform, excluding:
- Scheduled maintenance (announced at least 24 hours in advance).
- Force majeure events.
- Outages caused by Client-side networks, devices, or third-party services.
Service credits, where applicable, are issued per the terms of the Client's subscription agreement.
9. Intellectual property
9.1 Our IP
The Platform, its source code, design, and documentation remain the exclusive property of Coral Soft Bake. The Client receives a limited, non-exclusive, non-transferable license to use the Platform for the duration of their subscription.
9.2 Client IP
The Client retains full ownership of all data they enter into the Platform: products, recipes, customer lists, pricing, and business information. We do not claim any ownership or usage rights over Client data beyond what is necessary to operate the service.
10. Limitation of liability
- Coral Soft Bake's total liability for any claim arising from these Terms or the Platform shall not exceed the fees paid by the Client in the 12 months preceding the claim.
- We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption.
- We are not liable for any claims arising from the Client's products, food-safety incidents, allergen reactions, customer disputes, regulatory fines, or commercial decisions made by the Client.
- We are not liable for any claims arising from payment processing, chargebacks, or the actions of any third-party payment processor.
11. Indemnification
The Client agrees to indemnify, defend, and hold harmless Coral Soft Bake, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- The Client's products, including food-safety incidents, allergen reactions, or product liability.
- The Client's commercial relationships with end customers, including refunds, chargebacks, or disputes.
- The Client's breach of these Terms or applicable law.
- The Client's failure to obtain required consents from end customers for data processing.
- Any claims related to the Client's chosen payment processor or payment processing activities.
12. Term and termination
These Terms remain in effect for the duration of the Client's subscription and may be terminated:
- By the Client: with 30 days' written notice, effective at the end of the current billing period.
- By Coral Soft Bake: with 30 days' written notice, or immediately in case of material breach, non-payment, or illegal use.
Upon termination, the Client may export their data within 30 days. After that period, data is permanently deleted.
13. Dispute resolution
- Informal resolution: Parties will attempt to resolve disputes through good-faith negotiation within 30 days.
- Mediation: Unresolved disputes will be submitted to mediation in Victoria, BC.
- Litigation: If mediation fails, disputes are subject to the exclusive jurisdiction of the courts of British Columbia.
14. Governing law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein.
15. Modifications
We may update these Terms with 30 days' notice. Material changes that materially reduce Client rights require Client consent or provide the right to terminate without penalty.
16. Payment Processing Integrations
Coral Soft Bake does not promote, recommend, or require any specific payment processor.
The decision to accept online payments and which payment processor to use is made independently by each bakery client. Coral Soft Bake:
- Provides the technical capability to integrate with various payment processors.
- Does not receive commissions, referral fees, or incentives from payment processors.
- Does not require bakeries to use any specific payment platform.
- Supports integration with multiple processors based on each bakery's business decision.
If a bakery client chooses to integrate payment processing (such as Chase Paymentech, Stripe, Square, or others), this is:
- A direct business decision by the bakery.
- A separate contractual relationship between the bakery and the payment processor.
- Subject to the payment processor's terms, fees, and compliance requirements.
- Not promoted or mandated by Coral Soft Bake.
Coral Soft Bake's role is strictly technical: we configure the integration according to the bakery's specifications and chosen processor. The bakery is solely responsible for:
- Contacting the payment processor directly to establish a merchant account.
- Negotiating terms with their chosen payment processor.
- Complying with payment processor requirements (PCI DSS, etc.).
- Managing payment processing fees and chargebacks.
- Handling customer payment disputes and refunds.
Coral Soft Bake may also configure payment integrations on a bakery's own website (outside the Platform), linking it to the bakery's local Access system when requested. This is an additional technical service subject to separate quotation.
17. Technical Architecture & Order Flow
The Platform uses a secure, indirect architecture designed to protect Client data sovereignty. For the complete technical description, please see our How Orders Work document.
Key points:
- The web portal and the Client's local Access database are NOT directly connected.
- Orders flow via encrypted CSV email attachments — not through live database connections.
- Sensitive data (recipes, costs, customer details) never leaves the Client's local network.
- Coral Soft Bake acts strictly as a hosting and technical provider.
